RepoWise Terms of Service
Effective as of March 21, 2026
Welcome to RepoWise, Inc.'s Terms of Service agreement. For purposes of this agreement, "Site" refers to the Company's websites, which can be accessed at https://repowise.ai and https://app.repowise.ai. "Service" refers to the Company's platform — including the dashboard, CLI tool, background listener, and API — through which users can analyze codebases and generate AI-optimized context files for AI coding assistants. The terms "we," "us," and "our" refer to RepoWise, Inc. "You" refers to you, as a user of our Site or our Service.
The following Terms of Service apply when you view or use the Service via our Site or by accessing the Service through the CLI tool (npx repowise create) or background listener.
Please review the following terms carefully. By accessing or using the Service, you signify your agreement to these Terms of Service. If you do not agree to be bound by these Terms of Service in their entirety, you may not access or use the Service.
I. Privacy Policy
The Company respects the privacy of its Service users. Please refer to our Privacy Policy which explains how we collect, use, and disclose information that pertains to your privacy. When you access or use the Service, you signify your agreement to the Privacy Policy as well as these Terms of Service.
II. About the Service
The Service allows you to connect source code repositories (via GitHub, GitLab, or Bitbucket), analyze your codebase using AI, and generate structured context files (architecture overview, domain models, code patterns, API reference, tech stack, setup guide, and more) delivered in formats compatible with AI coding assistants such as Cursor, Claude Code, GitHub Copilot, and Windsurf. A background listener daemon can keep context files synchronized as your code evolves.
III. Registration; Rules for User Conduct and Use of the Service
You need to be at least 13 years old to register for and use the Service. If you are a user who signs up for the Service, you will create a personalized account which includes a unique username and a password to access the Service and to receive messages from the Company. You may also register using third-party OAuth providers including GitHub, GitLab, Bitbucket, Google, and Apple. You agree to notify us immediately of any unauthorized use of your password and/or account. The Company will not be responsible for any liabilities, losses, or damages arising out of the unauthorized use of your member name, password, and/or account.
Team Accounts: If you subscribe to a Team plan, you are responsible for ensuring that all team members invited to your account comply with these Terms of Service. The account owner is liable for any violations of these Terms by their team members and for all activity that occurs under their account.
By using the Service, you agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law
- Harass, threaten, demean, embarrass, bully, or otherwise harm any other user of the Service
- Use the Service to create, transmit, or store any malicious code, virus, or harmful data
- Interfere with, disrupt, or create an undue burden on servers or networks connected to the Service
- Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service
- Use any automated means, including robots, crawlers, or scrapers, to access the Service for any purpose without our express written permission
- Circumvent, disable, or otherwise interfere with security-related features of the Service, including features that prevent or restrict use or copying of any content
- Use the Service to reverse-engineer, decompile, or disassemble any aspect of the Service or its underlying technology
- Resell, sublicense, or provide the Service to third parties without prior written authorization from the Company
- Exceed the usage limits associated with your subscription tier (including repository, seat, and sync limits)
- Misrepresent your identity or affiliation with any person or organization
IV. Subscription Plans and Payment
1. Paid Plans
All access to the Service requires a paid subscription. The Service offers multiple subscription tiers (Starter, Pro, and Team), each with defined limits on the number of repositories, team seats, and monthly syncs. Current pricing and plan details are available on our Site.
2. Billing
Subscription fees are billed in advance on a monthly or annual basis through our third-party payment processor, Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis. You are responsible for keeping your payment information current.
3. Auto-Renewal
Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through the dashboard. Cancellation takes effect at the end of the current billing period.
4. No Refunds
All fees are non-refundable except as required by law. No refunds or credits will be issued for partial billing periods, downgrades, or unused services.
5. Price Changes
The Company reserves the right to change subscription fees upon 30 days' prior notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
6. Past Due Accounts
If payment fails or your account becomes past due, we may suspend or restrict access to the Service until payment is received. We may retry failed payments automatically or when your payment method is updated.
V. Source Code, Confidentiality, and Zero Retention
1. Your Data
You retain all ownership rights to your source code, repository data, and any content you provide to the Service. By using the Service, you grant the Company a limited, non-exclusive, revocable license to access, clone, analyze, and process your source code solely for the purpose of providing the Service — including generating context files and delivering them back to your repository.
Your Representations: By connecting a repository to the Service, you represent and warrant that: (a) you are the owner of the repository or have been authorized by the owner to connect it to the Service; (b) you have all rights and permissions necessary to grant the Company the license described above; and (c) the use of your source code through the Service does not violate any applicable law, regulation, or third-party right, including any intellectual property or confidentiality obligation. You are solely responsible for ensuring that you have proper authorization before connecting any repository.
2. Zero Retention Policy
RepoWise operates a strict zero retention policy for source code. Your source code is processed in ephemeral compute environments during the analysis pipeline and is deleted promptly upon completion of the processing run. No source code is ever persisted to permanent storage. Only the generated context files — which contain structured documentation and do not include raw source code — are retained and delivered to your repository.
3. Confidentiality
The Company treats all source code, repository data, and related information you provide to the Service as confidential information. We will not disclose, share, or make available your confidential information to any third party except: (a) to our service providers strictly as necessary to provide the Service, subject to confidentiality obligations no less protective than those set forth herein; (b) as required by law, regulation, or legal process; or (c) with your prior written consent. This confidentiality obligation survives termination of your account.
4. AI Processing
Your source code is processed by AI models (currently AWS Bedrock) to generate context files. Source code is transmitted securely over encrypted connections. In accordance with our zero retention policy, source code is not retained after processing. Generated context files are stored and delivered to your repository in the formats you configure.
5. No Training
We do not use your source code, repository data, or generated context files to train AI models.
6. Privacy Shield
If you enable the optional Privacy Shield feature, an additional PII detection and filtering layer will scan your code for sensitive data before context generation. Privacy Shield is strictly opt-in and never activates without your explicit consent.
7. Data Deletion
You may disconnect any repository from the Service at any time. Upon account deletion, your data will be removed in accordance with our Privacy Policy.
VI. Intellectual Property
The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of RepoWise, Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of RepoWise, Inc.
You may not copy, modify, create derivative works of, reverse-engineer, or otherwise attempt to extract the source code of the Service or any part thereof, unless expressly permitted by law or authorized by us in writing.
Feedback: If you provide the Company with any feedback, suggestions, ideas, or recommendations regarding the Service ("Feedback"), you hereby assign to the Company all rights, title, and interest in and to such Feedback. The Company shall be free to use, disclose, reproduce, license, and otherwise exploit such Feedback without obligation or restriction of any kind. This assignment does not apply to your source code or repository data, which remains subject to the protections in Section V.
VII. Third-Party Services and Links
The Service integrates with third-party services including GitHub, GitLab, Bitbucket, Google, Apple, Stripe, and Amazon Web Services. Your use of these third-party services is governed by their respective terms of service and privacy policies. We are not responsible for the content, privacy practices, or actions of any third-party services.
The Service may contain links to third-party websites or services that are not owned or controlled by the Company. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.
VIII. Beta and Preview Features
From time to time, the Company may offer beta, preview, or experimental features ("Beta Features") for testing and evaluation purposes. Beta Features are provided on an "as-is" basis without any warranty or service level commitment. The Company may modify, suspend, or discontinue any Beta Feature at any time without prior notice and without liability.
Beta Features may not be as reliable or available as the generally available Service. By using Beta Features, you acknowledge that: (a) Beta Features may contain bugs, errors, or other defects; (b) use of Beta Features is at your sole risk; (c) the Company may collect additional usage data related to Beta Features for improvement purposes; and (d) the Company is not obligated to release a generally available version of any Beta Feature.
Any feedback you provide regarding Beta Features is subject to the Feedback provisions in Section VI.
IX. Disclaimer of Warranties; AI Output
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, REPOWISE, INC. EXPLICITLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
AI-Generated Content: The context files generated by the Service are produced by artificial intelligence models and may contain errors, inaccuracies, omissions, or incomplete information. Generated context files are intended as a development aid and are not a substitute for your own review, judgment, and verification. You are solely responsible for reviewing, validating, and determining the suitability of any AI-generated content before relying on it. The Company makes no warranty regarding the accuracy, completeness, reliability, or fitness for any particular purpose of AI-generated context files.
Service Availability: The Company does not guarantee that the Service will be available at all times or that access will be uninterrupted, timely, secure, or error-free. The Service may be subject to scheduled and unscheduled downtime, including for maintenance, upgrades, or circumstances beyond our control.
No advice or information, whether oral or written, obtained from the Company or through the Service, will create any warranty not expressly made herein.
X. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REPOWISE, INC., ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REPOWISE, INC. ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY:
- ERRORS, MISTAKES, OR INACCURACIES IN GENERATED CONTEXT FILES OR OTHER CONTENT
- PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR ACCESS TO OR USE OF THE SERVICE
- UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY PERSONAL OR FINANCIAL INFORMATION STORED THEREIN
- INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE
- BUGS, VIRUSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE SERVICE BY ANY THIRD PARTY
- ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY AI-GENERATED CONTENT
IN NO EVENT SHALL THE COMPANY'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO REPOWISE, INC. IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
XI. Indemnification
You agree to defend, indemnify, and hold harmless RepoWise, Inc. and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms of Service; (c) your violation of any third-party right, including without limitation any copyright, intellectual property, or privacy right; or (d) any claim that content you provided to the Service caused damage to a third party.
XII. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms of Service. Upon termination, your right to use the Service will immediately cease.
You may terminate your account at any time by initiating the account deletion process through the dashboard. Account deletion follows a two-step confirmation process as described in our Privacy Policy.
All provisions of these Terms of Service which by their nature should survive termination shall survive, including without limitation ownership provisions, confidentiality obligations, warranty disclaimers, indemnity, and limitations of liability.
XIII. Dispute Resolution and Arbitration
1. Informal Dispute Resolution
Before initiating any formal dispute proceeding, you and the Company agree to first attempt to resolve any dispute informally. The party raising the dispute must send written notice to the other party describing the nature of the dispute and the relief sought. For notices to the Company, send to support@repowise.ai. The parties shall attempt in good faith to resolve the dispute within 60 days of receipt of such notice. If the dispute is not resolved within 60 days, either party may proceed to binding arbitration as described below.
2. Binding Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms of Service, or the breach, termination, or invalidity thereof, that is not resolved through the informal dispute resolution process in Section 1 above, shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted by a single arbitrator. The seat of arbitration shall be the State of Delaware. The language of the arbitration shall be English.
3. Class Action Waiver
YOU AND REPOWISE, INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
Unless both you and the Company agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
4. Exception — Small Claims
Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the jurisdiction of such court.
5. Opt-Out
You may opt out of this arbitration provision by sending written notice to support@repowise.ai within 30 days of first accepting these Terms of Service. If you opt out, the Governing Law and jurisdiction provisions of Section XIV shall apply.
XIV. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. If the arbitration provision in Section XIII does not apply (either because you opted out or it is found unenforceable), you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in the State of Delaware.
Our failure to enforce any right or provision of these Terms of Service will not be considered a waiver of those rights. If any provision of these Terms of Service is held to be invalid or unenforceable by a court, the remaining provisions of these Terms of Service will remain in effect.
XV. Force Majeure
The Company shall not be liable for any failure or delay in performing its obligations under these Terms of Service where such failure or delay results from circumstances beyond the Company's reasonable control, including but not limited to: acts of God, natural disasters, pandemics or epidemics, war or terrorism, government actions or regulations, labor disputes, power or internet outages, failures of third-party service providers (including but not limited to AWS, Stripe, GitHub, GitLab, and Bitbucket), cyberattacks, or any other event that is beyond the Company's reasonable control. During any such event, the Company's obligations under these Terms of Service shall be suspended for the duration of the event.
XVI. Export Compliance
You represent and warrant that you are not located in, or a resident or national of, any country subject to U.S. government embargo or that has been designated by the U.S. government as a "terrorist supporting" country, and that you are not listed on any U.S. government list of prohibited or restricted parties. You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce, trade and economic sanctions maintained by the Treasury Department's Office of Foreign Assets Control ("OFAC"), and the International Traffic in Arms Regulations maintained by the Department of State.
XVII. Customer Name and Logo
You grant RepoWise, Inc. a limited, non-exclusive, royalty-free license to use your company name and logo on our Site, marketing materials, and customer lists to identify you as a customer of the Service. This license does not grant us any rights to your trademarks beyond this limited use. You may revoke this license at any time by sending written notice to support@repowise.ai, and we will remove your name and logo within 30 days of receiving such notice.
XVIII. Changes to Terms of Service
We reserve the right, at our sole discretion, to modify or replace these Terms of Service at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect, by posting the updated terms on the Site or by sending you an email notification. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
XIX. General Provisions
1. Entire Agreement
These Terms of Service, together with the Privacy Policy and any other legal notices or agreements published by the Company on the Site, constitute the entire agreement between you and RepoWise, Inc. concerning the Service. No prior or contemporaneous communications, whether electronic, oral, or written, between you and the Company shall modify or supersede these Terms of Service.
2. Assignment
The Company may assign or transfer these Terms of Service, in whole or in part, without restriction and without your consent, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets. You may not assign or transfer any rights or obligations under these Terms of Service without the prior written consent of the Company.
3. Severability
If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms of Service shall otherwise remain in full force and effect.
4. Notices
All notices to the Company shall be sent to support@repowise.ai. Notices to you may be sent to the email address associated with your account. Notice shall be deemed given 24 hours after the email is sent, unless the sending party is notified that the email address is invalid.
5. No Waiver
The failure of the Company to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. No waiver of any term of these Terms of Service shall be deemed a further or continuing waiver of such term or any other term.
6. Electronic Communications
By using the Service or sending emails to the Company, you consent to receiving electronic communications from us. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically — via email, in-app notifications, or by posting on the Site — satisfy any legal requirement that such communications be in writing.
7. No Agency
Nothing in these Terms of Service shall be construed to create a partnership, joint venture, agency, or employment relationship between you and RepoWise, Inc. Neither party has the authority to bind or obligate the other in any manner.
8. Statute of Limitations
You agree that any claim or cause of action arising out of or related to the use of the Service or these Terms of Service must be filed within one (1) year after such claim or cause of action arose, or be forever barred. This limitation applies regardless of whether the claim is based in contract, tort, statute, or any other legal theory.
